1. What These Terms Cover
These Terms of Service ("Terms") govern the $1 VIP early-access signup ("VIP Signup") offered by Rainföll Inc. ("Rainföll," "we," "our," or "us") on rainfoll.ca (the "Site"). By completing the VIP Signup, you agree to these Terms. For how we handle your personal information, see our Privacy Policy.
2. What the $1 VIP Signup Buys
In exchange for a one-time $1 payment, VIP Signup gets you:
- Early access to the product when it becomes available for sale;
- Priority position in the fulfillment queue relative to non-VIP signups; and
- A $1 promotional credit applied against the purchase price, if and when you place an order.
3. What the $1 VIP Signup Is Not
The $1 VIP signup is not a purchase, pre-order, deposit, or reservation of a product. It does not create any obligation on the part of Rainföll Inc. to manufacture, ship, or deliver any product. Priority fulfillment means priority position in the queue if and when the product becomes available for sale; Rainföll makes no guarantee that it will become available. The $1 is applied as a promotional credit against a future order at the customer's option; it is not a deposit and does not reserve inventory.
We are not currently able to guarantee a launch date, a final retail price, or that the product will come to market at all. We are actively working toward a public launch, potentially including a future crowdfunding campaign, and VIP signups help us gauge demand and plan that launch — but no future product, timeline, or crowdfunding campaign is guaranteed.
4. Refund Policy
Your $1 is refundable on request, no questions asked, at any time — including before, during, or after any future product launch, and including if the product never comes to market. To request a refund, contact us at .
Requesting a refund forfeits your $1 promotional credit and your position in the fulfillment queue. If you'd like to rejoin later, you're welcome to sign up again.
5. Credit Expiry
Your $1 promotional credit does not expire. Because there is no confirmed launch date for the product, we are not setting an arbitrary expiration on your credit.
6. If the Product Never Ships
We intend to bring Rainföll to market, but we cannot guarantee that we will. If the product does not come to market, VIP members may request a full refund of their $1 at any time, as described in Section 4 above.
7. Changes to These Terms
We may update these Terms from time to time. We will update the effective date above when we do. Continued participation in the VIP Signup program after changes take effect constitutes acceptance of the updated Terms.
8. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
